Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Kenneth Bosworth (“we,” “our,” or “us”) concerning your use of the Bitcoin Alpha mobile application (the “App”).

By creating an account, subscribing, or using any feature of the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Bitcoin Alpha is an educational mobile application that provides:

• Analysis and tracking of Bitcoin’s 4-year market cycle
• Real-time alerts about critical market events
• Educational content about Bitcoin market patterns
• Technical analysis and market commentary
• Historical cycle data and insights

The App is designed for informational and educational purposes only. It is not a financial advisory service.

3. Subscription Terms

Bitcoin Alpha is a subscription-based service. Access to the App’s features requires an active subscription.

3.1 Subscription Tiers

Founders Pricing (First 1,000 Subscribers):

• Monthly: $0.99 per month
• Annual: $9.99 per year
• No free trial
• Pricing locked in as long as subscription is maintained
• If you cancel and later resubscribe, Founders pricing may no longer be available

Early Adopter Pricing (After First 1,000 Subscribers):

• Monthly: $1.99 per month
• Annual: $14.99 per year
• Includes 7-day free trial
• Standard pricing for all new users after Founders tier is full

3.2 Free Trial (Early Adopter Tier Only)

Early Adopter subscriptions include a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable fee.

Founders Pricing subscriptions do not include a free trial and are charged immediately upon purchase.

3.3 Payment and Billing

• All subscriptions are processed through Apple’s App Store
• Payment will be charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• The renewal cost will be the same as your original subscription price (locked in for Founders tier)

3.4 Managing Your Subscription

You can manage your subscription and turn off auto-renewal by:

• Going to your iOS Settings → [Your Name] → Subscriptions
• Selecting Bitcoin Alpha and choosing your subscription settings
• Or in the App: Settings → Subscription → Manage Subscription

3.5 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to subscription features until the end of the period you have paid for.

Important: Cancellation does not automatically entitle you to a refund for the current billing period. See Section 3.6 for refund information.

3.6 Refunds

All purchases are processed through Apple’s App Store and are subject to Apple’s refund policies. We do not directly process refunds.

To request a refund:

• Visit reportaproblem.apple.com
• Sign in with your Apple ID
• Find your Bitcoin Alpha purchase
• Select “Report a Problem” and follow the instructions

Refund approval is at Apple’s sole discretion. We cannot guarantee refunds will be granted.

4. Account Registration and Security

4.1 Account Creation

To use Bitcoin Alpha, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your password
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4.2 Account Eligibility

You must be at least 18 years old to create an account and use the App. By creating an account, you represent that you are at least 18 years of age.

4.3 Account Termination

You may delete your account at any time through the App settings. Account deletion will permanently remove your data. Deleting your account does not automatically cancel your subscription. You must cancel your subscription separately through iOS Settings.

5. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App in any way that violates any applicable law or regulation
• Share your account credentials with others
• Attempt to circumvent any security measures or access restrictions
• Reverse engineer, decompile, or disassemble the App
• Copy, modify, or create derivative works based on the App
• Use automated systems (bots, scrapers) to access the App
• Distribute or share content from the App without authorization
• Use the App to make investment decisions without conducting your own research
• Claim that content from the App constitutes financial advice

6. Educational Content and Investment Disclaimer

You acknowledge and agree that:

• No Financial Advice: Nothing in the App constitutes financial, investment, legal, or tax advice. All content is for educational and informational purposes only.
• Do Your Own Research: You should conduct your own research and consult with qualified financial professionals before making any investment decisions.
• No Guarantees: We make no guarantees or warranties about the accuracy, completeness, or timeliness of any information provided. Past performance does not guarantee future results.
• Investment Risk: Bitcoin and cryptocurrency investments are highly speculative and carry significant risk. You may lose some or all of your investment.
• Your Decisions: All investment decisions are solely your responsibility. We are not liable for any financial losses you may incur.
• Market Volatility: Bitcoin markets are highly volatile. Prices can change rapidly and unpredictably.
• Educational Purpose: The App is designed to help you understand Bitcoin’s market cycle patterns, not to tell you when to buy or sell.

7. Intellectual Property Rights

7.1 Our Content

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, analysis, commentary, and software, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use, subject to these Terms. This license does not include:

• Any resale or commercial use of the App or its content
• Any collection and use of data, descriptions, or prices
• Any derivative use of the App or its content
• Any downloading or copying of account information for the benefit of another party

7.3 Trademarks

“Bitcoin Alpha” and related logos are trademarks of Kenneth Bosworth. You may not use these trademarks without our prior written permission.

8. Third-Party Services

The App may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

The App uses the following third-party services:

• Apple App Store: For app distribution and in-app purchases
• RevenueCat: For subscription management
• Supabase: For data storage and authentication

Your use of these services is subject to their respective terms of service and privacy policies.

9. Disclaimer of Warranties

We disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the App will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected
• Warranties regarding results obtained from using the App

10. Limitation of Liability

This includes liability arising from:

• Your use or inability to use the App
• Any investment decisions made based on App content
• Financial losses from cryptocurrency investments
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the App
• Any other matter relating to the App

Our total liability to you for all claims arising from or related to the App shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kenneth Bosworth, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the App
• Your investment decisions
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

13. Modifications to the App

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by:

• Posting the new Terms in the App
• Updating the “Last Updated” date at the top of these Terms
• Sending you a notification for material changes

Your continued use of the App after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the App and cancel your subscription.

15. Termination

15.1 Termination by You

You may terminate your account at any time by deleting your account through the App settings. Termination does not automatically cancel your subscription or entitle you to a refund.

15.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the App at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the App or other users
• Non-payment of subscription fees

15.3 Effect of Termination

Upon termination:

• Your right to use the App will immediately cease
• We may delete your account and data
• You remain liable for all charges incurred prior to termination
• Sections that by their nature should survive termination will survive (including limitation of liability, indemnification, and dispute resolution)

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

16.2 Informal Resolution

If you have any dispute with us, you agree to first contact us at support@getbitcoinalpha.com and attempt to resolve the dispute informally for at least 30 days before initiating any legal action.

16.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association’s rules. The arbitration will take place in California, United States. You may only resolve disputes with us on an individual basis and may not bring a claim as a class action or representative proceeding.

16.4 Exceptions

Notwithstanding the above, either party may bring suit in court for:

• Infringement or misappropriation of intellectual property rights
• Violations of computer fraud or abuse laws
• Injunctive relief

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, internet failures, or government actions.

BY USING BITCOIN ALPHA, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.
